Article I: Names and Purpose
Section I: The name of the organization is Kansas Academy of Oil Painters.
Section II: The purpose of the organization is to stimulate interest, activity, and promote excellence in the mediums of oil and acrylic painting through workshops, exhibits, and publicity.
Article I: Membership
Section I: Full membership shall consist of artists whose work has been accepted three (3) different times in the Small Oil Show at The Center for the Arts, or by submitting 10 slides or photographs of your oil paintings for judging and approval by the Board of Directors and payment of your dues.
Section II: KAOP members may use the initials KAOP after their signature if so desired.
Section III: Associate membership consists of artists at least 18 years of age who have submitted a completed application for membership to the KAOP Membership Chair. The application must be accompanied by digital images or photographs of at least five acrylic or oil paintings, all completed within the past two years. The application will be discussed among the board members, with the standard being that the applicant shows some artistic talent. Associate Members must otherwise meet the standard requirements to become full members of KAOP.
Article II: Board of Directors
Section I: The Board of Directors is comprised of nine (9) members; President, Vice President, Secretary, and Treasurer. The remaining five (5) Directors will be chairmen of those committees needed to conduct the business of the Academy.
Article III: Duties of Board of Directors
Section I: The Board of Directors will transact all necessary business and establish policies subject to the approval of the membership.
Section II: Should an officer other than the President be unable to complete his/her term of office, the Board of Directors will appoint an interim officer to serve the remainder of the term.
Article IV: Duties of Officers
Section I: President: The President will preside at all meetings of the Academy and serve as chairman of the Board of Directors.
Section II: Vice President: The Vice President will act as an aide to the President and, in the absence of the President, perform the duties of the President.
Section III: Secretary: The Secretary will keep accurate minutes of all meetings, and prepare correspondence and notices of meeting.
Section IV: Treasurer: The Treasurer will be responsible for the collection of dues and the disbursement of funds. The Treasurer will keep simple records of K.A.O.P. financial status and advise the membership of these activities at the regular meetings. Disbursements will be made by check, and signed by the Treasurer or President.
Article V: Election Procedures
Section I: The Board of Directors is comprised of nine (9) members, consisting of a President, Vice President, Secretary, Treasurer, and five (5) committee chairmen, to be elected annually from the membership.
Section II: A nomination committee of five (5) will present the names of the nominees for President, Vice President, Secretary, and Treasurer on the day of election. Nominations from the floor will be in order, provided the nominee is present or has consented in writing.
Section III: The President will appoint the nominating committee three (3) months prior to the election. The election will be held at our October meeting.
Section IV: The nominating committee will present the names for five (5) committee chairmen. This list will be submitted to the board for their consideration and approval. Announcements of these chairmen will be made to the general membership at the December meeting. Officers will assume office after the December meeting.
Section V: Election of members to the Board of Directors will be by majority vote of the membership present on the day of balloting, with a minimum of ten (10) affirmative votes. Absent members may give their votes to any member of the Board of Directors by phone or mail, prior to the day of the election.
Section VI: Associate members do not have any voting rights and may not hold any office or chair position.
Article VI: Motions
Section I: Motions for election of members to the Board of Directors require a simple majority. All other motions and business require a two-thirds majority vote for passage.
Article VII: Meetings
Section I: There will be at least six (6) meetings a year. The Board of Directors will establish meeting dates.
Section II: Each associate member is to bring a newly completed painting, or a work in progress, to each meeting, with the exception of the Christmas luncheon meeting. At the end of the general members’ meeting, the paintings will be presented to and may be critiqued by the general members.
Article VIII: Commitments and Obligations
Section I: Dues for full members and associate members will be determined from time to time by the Board of Directors. Dues are payable at the beginning of each fiscal year. The fiscal year will correspond to the calendar year.
Section II: Any member more than three months delinquent in dues, after notification of such, will lose his/her exhibiting privileges in the KAOP sponsored shows.
Section III: The Board of Directors reserves the right to not accept in a KAOP sponsored exhibit any painting in which there is a question of originality. The artist always has the right of appeal. To enter a painting in a KAOP sponsored show, a painting created by an Associate Member must have received prior approval for exhibition from the KAOP Exhibit Chair, after discussion with the KAOP board. Only paintings that have been brought to a meeting for critique may receive consideration for an exhibit. Any painting shown in an exhibit will designate that the artist is an Associate Member.
Article IX: Disbanding the Organization
Section I: In the event the Kansas Academy of Oil Painters should agree to disband, the disbursement of all residual funds will be decided by the membership.
